Candidate Code of Conduct & Terms of Engagement

The terms that govern your participation in any application, recruitment, interview, assessment, or evaluation process with Warrant.

These Candidate Terms of Engagement and Code of Conduct (the "Terms") govern your participation in any application, recruitment, interview, assessment, or evaluation process with Warrant ("Warrant," "we," "us," or the "Company"), including any product demonstration, technical exercise, or disclosure of Company materials.

By applying for a position with Warrant, participating in any interview or evaluation, or otherwise engaging with our recruitment process, you ("Candidate," "you," or "your") acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, do not apply for or participate in the process.

1. Confidentiality

In the course of the recruitment and evaluation process, you may be given access to non-public, confidential, or proprietary information belonging to Warrant, including but not limited to its software, source code, system architecture, workflows, product features, technical methods, roadmaps, pricing, business strategies, customer and investor information, and the contents of any product demonstration (collectively, "Confidential Information").

You agree that:

  • Confidential Information is disclosed to you solely for the purpose of evaluating a potential employment relationship and for no other purpose;
  • You will hold all Confidential Information in strict confidence and will not use, copy, reproduce, record, disclose, publish, or distribute it for any purpose other than that stated above; and
  • Your obligations under this Section survive and continue indefinitely, regardless of whether an employment relationship results.

2. No Reverse Engineering or Improper Use

You will not, directly or indirectly, reverse engineer, decompile, deconstruct, reproduce, derive, reconstruct, or attempt to discover the underlying structure, source code, methods, or trade secrets of any Warrant system, product, or demonstration, whether for your own benefit or for the benefit of any third party. You will not record, screen-capture, or otherwise memorialize any product demonstration or Confidential Information without Warrant's prior written consent.

3. Non-Solicitation

During your participation in the process and for a period of [twelve (12) / twenty-four (24)] months following your last contact with Warrant, you will not, directly or indirectly, on your own behalf or on behalf of any other person or entity, solicit, induce, divert, recruit, hire, engage, interfere with, or attempt to do any of the foregoing with respect to any of the following:

  • Staff — any employee, officer, contractor, or other personnel of Warrant;
  • Clients — any current or prospective customer or client of Warrant;
  • Investors — any current or prospective investor in Warrant; and
  • Valued Business Relationships — any relationship, connection, contact, partner, vendor, referral source, or prospect of Warrant.

For purposes of these Terms, a "Valued Business Relationship" means any connection or relationship that has been acquired, developed, cultivated, or maintained through the efforts of Company personnel, including the investment of their time, effort, resources, goodwill, and specialized industry knowledge, and which is not readily ascertainable by, or available to, the general public. You acknowledge that such relationships constitute a protectable business interest of Warrant.

4. Good-Faith Participation

You agree to participate in the recruitment and evaluation process honestly and in good faith, and not to use the process as a pretext to obtain access to Confidential Information, personnel, or business relationships for any improper or competitive purpose.

5. Remedies

You acknowledge and agree that any breach of Sections 1 through 3 of these Terms would cause Warrant immediate and irreparable harm for which monetary damages alone would be an inadequate remedy. Accordingly:

(a) Injunctive Relief. Warrant shall be entitled to seek and obtain temporary, preliminary, and permanent injunctive relief, including a temporary restraining order, to enforce these Terms, without the necessity of posting a bond and without proof of actual damages.

(b) Liquidated Damages. For each violation of these Terms, you agree to pay Warrant liquidated damages in the amount of $10,000 per day, which shall accrue for each and every day the violation continues and shall continue to toll until the violating conduct is fully ceased and revoked. The parties acknowledge and agree that the actual damages Warrant would suffer as a result of such a violation are uncertain and would be difficult or impossible to ascertain with precision; that the foregoing amount represents a reasonable, good-faith pre-estimate of the actual damages Warrant would sustain; and that this provision is intended to liquidate damages and does not constitute a penalty.

(c) Attorneys' Fees and Costs. In any action or proceeding to enforce these Terms, Warrant shall be entitled to recover its reasonable attorneys' fees, expert fees, and costs.

The remedies in this Section are cumulative and in addition to any other rights or remedies available to Warrant at law or in equity.

6. Equal Opportunity and Non-Discrimination

Warrant is an equal opportunity organization and is committed to a fair, lawful, and respectful recruitment process. Warrant does not discriminate against any applicant or candidate on the basis of race, color, religion, sex, sexual orientation, gender identity or expression, pregnancy, family status, body size, national origin, ancestry, age, physical or mental disability, medical condition, genetic information, marital status, military or veteran status, or any other characteristic protected by applicable federal, state, or local law.

7. Candidate Complaints

Warrant holds itself to high ethical and legal standards. If you believe that your interview, assessment, or evaluation was not conducted in accordance with those standards, or that you were subjected to unlawful discrimination or unfair treatment, you may file a complaint by emailing legal@hellowarrant.com. Warrant will review and respond to complaints submitted in good faith.

8. General

Governing Law and Venue. These Terms are governed by the laws of the State of [North Carolina], without regard to its conflict-of-laws principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in [County], [North Carolina].

Severability. If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.

No Waiver. Warrant's failure to enforce any provision of these Terms is not a waiver of its right to do so later.

Entire Agreement; Modification. These Terms constitute the entire understanding between you and Warrant regarding the recruitment process and supersede any prior understanding on that subject. Warrant may update these Terms at any time by posting a revised version, and your continued participation constitutes acceptance of the revised Terms.

Survival. Sections 1, 2, 3, 5, and 8 survive the conclusion of the recruitment process and any decision not to extend or accept employment.

By participating in Warrant's recruitment or evaluation process, you acknowledge your acceptance of these Terms.
